Article 1 – Name, Purpose and Location.
Section 1. This club shall be known as the Redwood Region of the Contemporary Historical Vehicle Association, a non-profit club.
Section 2. The purpose of the club shall be to supplement the activities of the Contemporary Historical Vehicle Association (CHVA) for members residing in this area.
Article 2 – Statement of fiscal year.
Section 1. The fiscal year of the Redwood Region, CHVA, shall be November 1, to October 31.
Article 3 – Board of Directors
Section 1. The Region will have six Board Members. Term of office will be for three years. Limited to two consecutive terms.
Section 2. Each year the two board members having completed a three-year term will be off the board, unless re-elected to a second term.
Section 3. Nominations to re-elect or replace the two outgoing Board Members will be accepted from the floor at the annual meeting. Election of candidates will be by ballot. Each member present may vote for two candidates. The two candidates receiving the largest and second largest number of votes will be the two new Board Members.
Section 4. Each Board Member shall have one equal vote.
Section 5. Board members not holding office shall be known as Board members at Large, they shall either head or be a part of committees as required for operation of the Region.
Section 6. Any majority vote of the Board of Directors concerning region policy, unless stated in the By-Laws, shall be valid until such time as a referendum on the subject is successful.
Section 7. Vacancies on the Board will be filled by appointment of the Director, with Board majority approval, to complete the vacant term.
Section 8. Officer vacancies will be filled from the Board, with majority approval, to complete the vacant term.
Article 4 – Officers
Section 1. Officers will include Director, Secretary, and Treasurer.
Section 2. Officers will be elected from within the Board of Directors, by Board majority.
Section 3. The term of office will be one year and limited to four successive years, however, the officer may again hold the office after a one-year layoff from said office.
Section 4. Duties of Officers:
A. The Director shall:
1. Preside at all meetings of the Board of Directors or the members, and will preserve and call meetings as required.
Oversee region activities to assure conformance with the by-laws of the Region and Contemporary Historical Vehicle Association, CHVA.
B. The Secretary shall:
Keep minutes of all official meetings, answer all normal mail and other related duties as requested by the Director.
Follow duties outlined per Article 4, Section 4D.
C. The Treasurer shall:
Handle all funds of the Region, and keep accurate records of all income and expenditures.
Follow duties outlined per Article 4, Section 4D.
D. A handbook of Officer’s Duties shall be prepared which will list the specific duties of each officer in full detail. This handbook should be reviewed annually and revised as needed. Any revisions must have the approval of the Board.
Article 5 – Membership
Section 1. Any person expressing an interest in the old car hobby and in the common spirit of fellowship is eligible.
Section 2. All members of the Region must be members of the Contemporary Historical Vehicle Association (CHVA).
Section 3. Annual membership will be from January 1 to December 31.
Section 4. Application for membership in the Region will also include membership in the CHVA. Applications must be filed in writing accompanied with the current dues for both Redwood Region and CHVA, and mailed to the Treasurer.
Section 5. Applicants belonging to other Regions must provide CHVA membership number.
Section 6. The Spouse/Partner of any member in good standing will be considered a member of the Region.
Article 6 – Dues
Section 1. Annual Region dues shall be established by majority vote of the membership.
Section 2. Current dues shall be posted in the Region’s newsletter “Auto Action News”.
Section 3. New member dues will be prorated on a quarterly basis. When joining in the forth quarter (Oct Nov Dec) dues will include fourth quarter plus full next year dues.
Section 4. Members paying CHVA dues through another region or Life Members in CHVA, will pay only the current region dues.
Section 5. Dues are due and payable by December 31.
Article 7 – Amendments
Section 1. Any change to the By-Laws must be submitted in writing to the Director. If two-thirds of the Board of Directors indicate approval, the proposed change will be submitted to the club membership. A vote shall be taken by ballot at a regular meeting or by mail, with a majority vote of the members present, or voting by mail, required for adoption.
Article 8 – Membership Business Meetings.
Section 1. An annual meeting will be held on the first Saturday in November and shall be open to all members for the purpose of conducting club business and planning the events for the coming year.
Article 9 – Areas of Competition.
Section 1. The Redwood Region shall follow the dictates of the National Club in the area of competition for shows.
Article 10 – Past Directors
Section 1. All past Directors of the club shall become Honorary Directors, and may participate in all meetings of the Board of Directors.
Article 11 – Additional Coverage.
Section 1. Any areas not covered in Articles 1 thru 10, shall be covered by the By-Laws of the National CHVA.
